Terms & Conditions

These Terms & Conditions ("Terms") govern your use of the Memoiri website, mobile applications, and services (collectively referred to as the "App"), which are provided by Mohammad Elzahaby ("Memoiri," "we," or "us"). By accessing, using, or downloading any materials from the App, you agree to be bound by these Terms. We may update the Terms from time to time without notice, and the most current version can be found [provide the specific location for users to access the latest version of the Terms].

App Changes and Discontinuation

We reserve the right to modify or discontinue the App or any part of it, temporarily or permanently, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the App or its services.

Subscription Payments, Renewals, and Cancellations

In-app Purchase refers to the purchase of a product, item, service or Subscription made through the Application and subject to these Terms and Conditions and/or the Application Store's own terms and conditions.

If you choose to purchase a Memoiri Plus subscription, payment will be charged to your Apple ID account upon confirmation of purchase. The subscription will automatically renew unless canceled at least 24 hours before the current period ends. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel your subscriptions by going to your account settings on the App Store after purchase.

All purchases are final, and Memoiri cannot issue refunds for purchases charged to your Apple ID.

Proprietary Rights

You acknowledge that the App, including any associated software, contains proprietary and confidential information protected by applicable intellectual property and other laws. Except as expressly permitted by us or applicable third-party service providers or advertisers, you agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the App or its content (other than your own submitted content) in whole or in part.

We grant you a personal, non-transferable, and non-exclusive right and license to access and use the App, provided that you do not copy, modify, create derivative works from, reverse engineer, reverse assemble, or otherwise attempt to discover any source code. You agree not to access the App except through the interface provided by us.

The terms "Memoiri," logos, and product and service names are exclusive trademarks owned by Mohammad Elzahaby. You may not use or display these trademarks without our prior written permission. Any third-party trademarks or service marks displayed on the App are the property of their respective owners.

User Responsibility

You are responsible for keeping your phone and App access secure. We recommend that you do not jailbreak or root your phone, as it may compromise your device's security and the functionality of the App. You are responsible for ensuring an active internet connection to access certain features of the App. Your mobile network provider may charge you for data usage, and you accept responsibility for such charges, including roaming data charges.

Mohammad Elzahaby is not responsible for any loss or damages resulting from your use of the App or any reliance on its functionality. It is your responsibility to ensure that your device stays charged to access the services.

Disclaimer of Warranties and Liability

The information, software, products, services, and content available in the App are provided "as is" and without warranties. Memoiri and its subsidiaries, affiliates, officers, employees, agents, partners, and licensors disclaim all warranties, including but not limited to, implied warranties and conditions of merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that:

• The App will meet your requirements.
• The App will be uninterrupted, timely, secure, or error-free.
• The results obtainedfrom the use of the App will be accurate or reliable.
• The quality of any products, services, information, or other material obtained through the App will meet your expectations.
• Any errors in the App will be corrected.

By using the App, you agree to release Memoiri, its subsidiaries, affiliates, officers, agents, representatives, employees, partners, and licensors (collectively referred to as the "Released Parties") from any and all liability connected with your activities. You promise not to sue the Released Parties for any claims, actions, injuries, damages, or losses associated with your activities. In no event shall the Released Parties be liable to you or any third party for any direct, indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with:

1. Your use or misuse of the App.
2. Your dealings with third-party service providers or advertisers available through the App.
3. Any delay or inability to use the App experienced by you.
4. Any information, software, products, services, or content obtained through the App.

This limitation of liability applies whether the claim is based on contract, tort, strict liability, or otherwise, even if Memoiri has been advised of the possibility of damages. However, please note that some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

Termination

We strive to keep the App updated and accurate, but Memoiri accepts no liability for any loss, whether direct or indirect, resulting from your reliance on the App's functionality. We may update the App to align with changes in system requirements or terminate the App's availability at any time without notice. Upon termination:

1. The rights and licenses granted to you in these Terms will end.
2. You must cease using the App and, if necessary, delete it from your device.

Indemnity

You agree to indemnify and hold Memoiri and its subsidiaries, affiliates, officers, agents, representatives, employees, partners, and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of:

• Content you submit, post, transmit, or otherwise make available through the App.
• Your use of the App.
• Your connection to the App.
• Your violation of these Terms.
• Your violation of any rights of another person or entity.

General

No joint venture, partnership, employment, or agency relationship exists between you and Memoiri as a result of these Terms or your use of the App. These Terms constitute the entire agreement between you and Memoiri regarding your use of the App.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms shall remain in full force and effect.

You may not assign, delegate, or otherwise transfer your account or obligations under these Terms without our prior written consent. We have the right, at our sole discretion, to transfer or assign any part of our rights under these Terms and to delegate or use third-party contractors to fulfill our duties and obligations.

Our notice to you, whether by email, regular mail, or notices or links within the App, shall constitute acceptable notice under these Terms.

A printed version of these Terms and any notice given in electronic form shall be admissible in judicial or administrative proceedings to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

Section titles and headings in these Terms are for conveniencepurposes only and shall not have any legal or contractual effect.

Any rights not expressly granted herein are reserved.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Memoiri operates, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, enforcement, interpretation, or validity thereof, shall be settled through good-faith negotiations between you and Memoiri.

If the parties are unable to resolve the dispute through negotiations, either party may submit the dispute to binding arbitration in accordance with the rules of the arbitration institution agreed upon by both parties.

Changes to the Terms

Memoiri reserves the right to modify or update these Terms at any time without prior notice. The most current version of the Terms will be made available within the App. By continuing to use the App after any modifications or updates to the Terms, you are indicating your acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall continue to be fully valid, binding, and enforceable to the fullest extent permitted by law.
